1. The service
ResourceFlow AI is a multi-tenant HR and workforce management platform. Features available to you depend on your organization's subscription, configuration, and assigned role.
2. Accounts and access
- You must provide accurate registration information and keep credentials confidential.
- Access is granted through your organization's administrator. You may not share accounts or bypass security controls.
- We may suspend access for suspected abuse, non-payment, or violation of these Terms.
3. Customer data
- Customers retain ownership of data they upload to the platform.
- We process customer data only to provide and support the service, as described in our Privacy Policy and any applicable Data Processing Agreement (DPA).
- Customers are responsible for having a lawful basis to process employee and candidate data in the platform.
4. Acceptable use
- Do not use the service to violate law, infringe rights, distribute malware, or attempt unauthorized access.
- Do not reverse engineer, scrape, or overload the service except as permitted by law or written agreement.
- Do not upload unlawful, defamatory, or excessively sensitive data without appropriate safeguards and authorization.
5. Fees and trials
Paid plans, billing cycles, and trial periods are described on our pricing page or in your order form. Fees are generally billed per user unless otherwise agreed in writing.
Taxes may apply. Failure to pay may result in suspension after reasonable notice.
6. Availability and support
We aim for high availability but do not guarantee uninterrupted service. Planned maintenance and factors outside our control may cause downtime.
Support levels depend on your subscription tier.
7. Intellectual property
ResourceFlow AI, its software, branding, and documentation remain our property or that of our licensors. You receive a limited, non-exclusive right to use the service during your subscription.
8. Disclaimer and limitation of liability
The service is provided "as is" to the extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement where allowed.
To the maximum extent permitted by applicable law, ResourceFlow AI Ltd is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or business opportunity.
Our aggregate liability arising from the service is limited to the fees paid by the customer in the twelve (12) months preceding the claim, unless mandatory law provides otherwise.
9. Termination
- Customers may terminate according to their agreement. We may terminate or suspend for material breach after notice where reasonable.
- Upon termination, access ends and data handling follows the customer agreement and DPA.
10. Governing law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection rules require otherwise.
